Widget License Agreement

This agreement governs the license to use the alg accessibility widget and supplements the Terms of Use; in any conflict regarding the license, this agreement prevails.

1. Grant of license

Subject to full payment and an active subscription, you are granted a non-exclusive, non-transferable, non-sublicensable, revocable license to embed and display the Widget on one Customer Site. Each additional site requires a separate license.

2. Scope and restrictions

You may not sell, rent, distribute, or sublicense the Widget; reverse-engineer or derive the source code, except as permitted by law; or circumvent technical limits, configuration validation, or subscription mechanisms, or use the Widget to operate a competing service.

3. License fees and term

The license is subject to a setup fee and an annual license fee, and its term equals the subscription term. It takes effect when payment is received and ends when the subscription lapses, is canceled, or is terminated, per the Terms of Use and the Refund & Cancellation Policy.

4. Ownership and intellectual property

The Widget, code, design, and trademarks are and remain our exclusive property or that of our licensors. This agreement transfers no ownership to you, only a limited license to use.

5. Support and availability

The Widget is loaded from our servers as a hosted service. We work to maintain reasonable availability but do not guarantee continuous, error-free availability or any particular service level (SLA) unless agreed otherwise in writing.

6. Disclaimer

The Widget is provided As-Is and As-Available. It is a basic accessibility aid and does not guarantee full conformance with IS 5568, the requirements of the law, or WCAG, and does not prevent claims, fines, or demand letters. Full accessibility also depends on the structure of the Customer Site and further action on your part.

7. Termination

The license terminates when the subscription lapses or on its material breach. Upon termination you must cease all use of the Widget and remove the embed line from the Customer Site. The ownership, disclaimer, and limitation-of-liability sections survive.

8. Governing law and jurisdiction

This agreement is governed by the laws of the State of Israel, and exclusive jurisdiction lies with the competent courts in the appropriate district in Israel.
